The contract writes the owner
An institution can buy a model or a platform and still remain a tenant of the capability. If the contract is silent on knowledge transfer, data, exit, and intellectual property, the vendor keeps what matters when the term ends. Public-buyer guidance already asks who owns what is newly trained on the institution's data. Clause answers that question in the text you sign.
Independent advisers. Published principles. Clear phases.
We do not sell software and we do not place vendors. The Localization Doctrine is the reference: ownership is a sequence, not a purchase, and what is not verified has not happened. The work ends in a short report and clauses ready to insert. The principles are published here. The review is the service.
Buyer principles — published here
- We sell no product and we recommend no vendor.
- The institution owns its data, its inputs, and the weights adapted on that data.
- Training the team is a measurable output, not a courtesy day.
- Intellectual property in what the institution creates stays with the institution.
- The right to leave the vendor is written before signature.
- What is not verified has not happened.
Phase 01 — Read the draft before it is issued
We read the tender or the draft contract while you still have leverage. We name the gaps that would leave the institution a tenant of the capability.
Phase 02 — Write ownership into the specification
Training the local team, ownership of data and adapted weights, documentation, and exit rights become requirements, not a courtesy paragraph.
Phase 03 — Test every offer against those requirements
We score the offers on whether they move the buyer up the ownership ladder — use, assemble, adapt, design, export — not only on price or delivery date.
Phase 04 — Lock the clauses before signature
The report is short. The clauses are ready to insert. Intellectual property in what the institution creates stays with the institution. Exit is written while the relationship can still be refused.
Phase 05 — Watch the first period of operation, and prepare the exit while the contract is alive
A signed clause that is never tested has not happened. We define how the contract and the data end, and how knowledge is handed over, before the last month arrives.
